Welcome to Fliq. These Terms of Service ("Terms") govern your access to and use of the Fliq platform, including our mobile application, website, and all related services (collectively, the "Platform"). Please read these Terms carefully before using Fliq.
By registering an account, accessing the Platform, or using any of its features, you agree to be bound by these Terms and our Privacy Policy.
FLIQ IS OPERATED BY
Fliq Technologies Ltd., incorporated in the Dubai International Financial Centre (DIFC), Dubai, UAE. Registered address: DIFC Innovation Hub, Dubai, UAE.
ABOUT THE PLATFORM
1.1 What is Fliq?
Fliq is a live commerce marketplace that connects buyers and sellers through interactive livestream shows. Sellers host live shows during which buyers can purchase products in real time through auctions or fixed-price listings.
Fliq acts as an intermediary marketplace. We facilitate transactions between buyers and sellers but do not own, store, or take title to any products listed on the Platform.
1.2 Who Can Use Fliq?
The Platform is available to individuals who are:
- Residents of the UAE or otherwise legally permitted to access the Platform
- Capable of forming a legally binding contract under UAE law
- At least 18 years of age
AGE VERIFICATION
Fliq does not independently verify the age of users. By using the Platform, you represent and warrant that you are at least 18 years of age. If Fliq discovers a user is under 18, it reserves the right to terminate that account immediately. Fliq shall not be liable for any transactions conducted by users who misrepresent their age.
1.3 Account Registration
To access certain features of the Platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Keep your account information up to date
- Maintain the confidentiality of your login credentials
- Not share your account with any third party
You are responsible for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at support@gofliq.ae
BUYER TERMS
2.1 Purchasing on Fliq
Buyers may purchase products during live selling events through the following formats:
LIVE AUCTIONS
Buyers compete by placing bids in real time. The highest bid at auction close wins the item. By placing a bid, you irrevocably authorise Fliq to charge your registered payment method for the full bid amount if your bid wins. You may not cancel, withdraw, or reverse a bid once placed. Winning bidders may not initiate a chargeback on the basis of changing their mind. Fliq reserves the right to submit transaction records and livestream data to payment providers as evidence in any payment dispute.
AUTO-BID (CUSTOM BID)
Buyers may set a maximum bid amount. The Platform will automatically place the minimum bid required to keep you in the lead, up to your maximum. Your maximum bid amount is confidential and not visible to the seller or other buyers.
FIXED-PRICE LISTINGS
Certain products may be available at a fixed price during a live show. Selecting a fixed-price item and completing checkout constitutes an immediate and binding purchase.
2.2 Payments
All purchases on Fliq must be completed through the Platform using a supported payment method. Accepted payment methods include credit cards, debit cards, and digital wallets as supported at the time of checkout.
- Cash on Delivery (COD) is not available on Fliq
- All prices are displayed in UAE Dirhams (AED), inclusive of VAT where applicable
CHARGEBACK POLICY
By completing a purchase, you agree not to initiate a chargeback or payment reversal except where your payment method was used without your authorisation. Accounts that initiate unjustified chargebacks may be suspended and the disputed amount recovered through available legal means.
PAYMENT FAILURE
Where a payment attempt fails at auction close: (a) the order will be automatically cancelled; (b) the seller is not obligated to hold the item; (c) Fliq is under no obligation to reserve or re-offer the item. Repeated payment failures may result in account restrictions.
2.3 Shipping and Delivery
Once a purchase is confirmed, the seller prepares the item for collection by Fliq's logistics partner. Delivery is carried out by third-party logistics providers engaged by Fliq.
- A flat delivery fee applies per order per live show. However, if the buyer buys 2 or more items from the same live show, the shipping will be charged only once.
- Where items are purchased across multiple shows, a separate delivery fee applies per show
- Estimated delivery timelines are communicated at checkout and are not guaranteed
CROSS-BORDER ORDERS
For orders delivered outside the UAE, import duties, customs fees, VAT, or other charges imposed by the destination country may apply. These charges are beyond Fliq's control, are not displayed at checkout, and are the sole responsibility of the buyer.
2.4 Returns and Refunds
Returns are only accepted within 2 calendar days (48 hours) of confirmed delivery and only where the item is: (a) damaged or lost in transit; (b) confirmed as counterfeit, inauthentic, or materially different from how it was shown during the live show; or (c) expired or past its use-by date. Returns will not be accepted for change of mind, fit, preference, or any other subjective reason.
Fliq will review the request and notify the buyer of the outcome. Approved returns will be collected by Fliq’s logistics partner. Refunds for approved returns will be processed to the original payment method within [5] business days of the returned item being received and verified
Fliq reserves the right to decline a return request if the item shows signs of use, damage caused by the buyer, or if the request is submitted outside the eligible return window.
2.5 Disputes
If you believe a product you received is significantly not as described, counterfeit, or damaged in transit, you may submit a dispute through the Platform within 48 hours of delivery.
Where a dispute arises from a transaction, buyers should submit their complaint directly to Fliq through the Platform. Fliq acts as the central resolution authority- reviewing the claim, gathering evidence from both parties, and reaching a fair determination. Fliq's role as dispute intermediary is a core platform commitment and a key part of the buyer trust and protection we provide.
Fliq will investigate disputes using available evidence, including transaction records and livestream data. Fliq's decision on disputes is final. Contact: support@gofliq.ae
SELLER TERMS
3.1 Seller Eligibility and Onboarding
To sell on Fliq, you must complete the seller registration process and be approved by Fliq's seller operations team. Sellers must provide:
- Valid government-issued identification (Emirates ID for individuals)
- A valid UAE trade licence (required for boutiques, brands, and authorised resellers)
- Bank account details for payout settlement
- A confirmed pickup address within the UAE
Permitted sellers also include - Social media influencers and content creators who sell their own products, promote brand-affiliated products, or host branded live shows on behalf of third-party brands.
Influencers selling on behalf of a brand must clearly disclose any brand affiliation or sponsorship at the start of the live show and on each relevant product listing. Undisclosed sponsored selling is a violation of these Terms and of UAE influencer marketing regulations.
As per UAE laws, Individual and home sellers are also required to hold a trade licence.
Fliq reserves the right to approve or reject applications at its discretion.
3.2 Seller Responsibilities
By selling on Fliq, you agree to:
- Sell only authentic, genuine, and legally sourced products
- Accurately represent all products during live shows and in listings
- Disclose all defects, signs of use, or imperfections
- Fulfill orders within the timeframes set by Fliq
- Comply with all applicable UAE laws and regulations
- Maintain professional and respectful conduct during all livestreams
LIVESTREAM LIABILITY
Sellers are solely and exclusively responsible for all statements, representations, demonstrations, and claims made verbally or visually during livestreams. Fliq does not monitor, verify, or endorse any livestream content in real time and is not liable for any loss or damage arising from a buyer's reliance on seller statements made during a live session.
3.3 Product Listings and Live Shows
All products must include accurate information including product name, condition, quantity, and clear images. Sellers must declare return eligibility at the show level. Live shows must be created and scheduled through the Platform. Fliq may review scheduled shows prior to publication and may decline to publish shows that do not comply with Platform guidelines.
Sellers may run giveaways during live shows in accordance with Fliq's Giveaway Policy set out in the Seller Policy. Giveaways must be genuine audience engagement tools and must not constitute a paid lottery, raffle, or gambling activity. All giveaway items are subject to the same prohibited items restrictions as regular listings.
3.4 Prohibited Products
The following products may not be listed or sold on Fliq under any circumstances:
- Counterfeit, replica, or unauthorised branded goods
- Items prohibited under UAE Federal Law
- Products requiring special trade permits without valid authorisation (including TDRA approval)
- Weapons, weapon accessories, or items designed to cause harm
- Prescription medications or controlled substances
- Stolen or illegally sourced merchandise
- Items that infringe on third-party intellectual property rights
- Any item that violates UAE import, trade, or consumer protection regulations
Fliq reserves the right to remove any listing and suspend any seller account found to be in violation of this policy
3.5 Fulfilment and Shipping
Sellers are responsible for packing items securely and preparing them for pickup by Fliq's logistics partner within 12 hours of order confirmation. Each order needs to have proper documentation, and a clear order ID for identification.
Sellers must package items in a manner that prevents damage during transit. For high-value items, additional protective packaging may be required. Fliq will provide packaging guidelines separately.
Failure to fulfill orders within the required timeframe may result in seller performance penalties including restrictions on hosting live shows
RISK TRANSFER
Risk of loss or damage passes from the seller to Fliq's logistics partner upon collection and barcode scan. Risk passes from the logistics partner to the buyer upon confirmed delivery. Where damage occurs in transit, liability is assessed in accordance with Fliq's dispute resolution process.
3.6 Seller Earnings and Payouts
Seller earnings are calculated as the final sale price of each item, less:
- Fliq platform commission (currently 20% of sale price - subject to change per the Payments & Fees Policy. Promotional rates or individual seller arrangements do not constitute a permanent modification to the standard fee structure.)
- Applicable taxes, including VAT where required under UAE law
Payouts are processed on a monthly settlement cycle. The settlement period and exact payout dates will be communicated to sellers in advance. Funds are transferred to the seller’s registered UAE bank account.
Payouts may be withheld or delayed in the following circumstances:
- An active buyer dispute or return request is pending on an order;
- The seller’s account is under investigation for a policy violation;
- Fraud or suspicious activity has been flagged on the account
FEE FLEXIBILITY
Fliq may from time to time offer promotional pricing, reduced commission periods, or fee waivers. Such promotions do not constitute a permanent change to the fee structure. Fliq may introduce new fee categories with 30 days' notice to sellers.
3.7 Seller Conduct and Prohibited Practices
The following practices are strictly prohibited:
- Shill bidding , placing fake bids or using secondary accounts to inflate auction prices
- Encouraging buyers to transact outside the Platform
- Making false or misleading claims about product rarity, authenticity, or availability
- Using fake countdown timers or artificial scarcity tactics
- Abusive, offensive, or discriminatory conduct toward buyers or other participants
Violations may result in warnings, listing removal, account restrictions, or permanent suspension. Fliq reserves the right to monitor all livestreams and take immediate action where necessary
PLATFORM RULES - ALL USERS
4.1 Acceptable Use
All users of the Platform agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Platform or its systems
- Interfere with or disrupt the integrity or performance of the Platform
- Post false, misleading, defamatory, or harmful content
- Harvest or collect personal data of other users without consent
- Use automated tools, bots, or scripts without prior written approval from Fliq
4.2 Intellectual Property
All content on the Platform - including the Fliq name, logo, design, software, and proprietary technology - is owned by or licensed to Fliq and protected under UAE and international IP laws.
Users retain ownership of content they upload (such as product images and livestream footage) but grant Fliq a non-exclusive, royalty-free, worldwide licence to use, display, and promote such content in connection with the operation of the Platform. This licence survives account closure solely to the extent required for dispute resolution, compliance, and marketing already in use.
If you submit Feedback (ideas, suggestions, comments about the Platform), you grant Fliq a perpetual, irrevocable, royalty-free worldwide licence to use such Feedback for any purpose without restriction or compensation.
4.3 Privacy
Your use of the Platform is also governed by our Privacy Policy, incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal data as described in the Privacy Policy. Fliq complies with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and DIFC Data Protection Law No. 5 of 2020.
4.4 Platform Licence
Subject to your compliance with these Terms, Fliq grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. This licence does not include the right to: (a) sublicence or resell access; (b) use automated tools or bots without Fliq's prior written consent; or (c) copy, modify, or create derivative works from any Platform content. Fliq may suspend or revoke this licence immediately upon any breach of these Terms.
LIABILITY AND DISCLAIMERS
5.1 Fliq's Role as Marketplace
Fliq is a technology platform that facilitates transactions between buyers and sellers. Fliq does not manufacture, inspect, or take ownership of any products listed on the Platform. Responsibility for product descriptions, authenticity, and fulfilment lies with the seller. Fliq does not guarantee the quality, safety, legality, or fitness for the purpose of any product listed on the Platform.
AS IS / AS AVAILABLE
The platform is provided on an ‘As Is’ and “As Available” basis without warranties of any kind, express or implied. Fliq does not guarantee platform uptime, listing accuracy, product quality or seller performance.
5.2 Limitation of Liability
To the maximum extent permitted by UAE law, Fliq's liability to any user shall not exceed the total fees paid by that user to Fliq in the three months preceding the event giving rise to the claim.
Where a user has paid no fees directly to Fliq in the preceding three months, Fliq's total liability shall not exceed AED 500 or the value of the transaction giving rise to the claim, whichever is lower.
Fliq shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.
5.3 Platform Availability
Fliq does not guarantee that the Platform will be available at all times or free from errors, interruptions, or technical issues. We reserve the right to suspend or discontinue any feature at any time without notice.
5.4 Force Majeure
Fliq shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, strikes, labour disputes, natural disasters, pandemic, power failures, internet outages, or failure of third-party logistics or payment providers. In such events, Fliq's obligations are suspended for the duration of the force majeure event.
5.5 Indemnification
You agree to indemnify, defend, and hold harmless Fliq and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your breach of these Terms; (d) your violation of any third-party rights including intellectual property rights; or (e) any dispute between you and another user.
ENFORCEMENT AND ACCOUNT SUSPENSION
6.1 Policy Violations
Fliq reserves the right to investigate any suspected breach of these Terms. Actions may include, depending on severity and frequency:
- Issue a formal warning
- Remove listings or restrict account functionality
- Temporarily suspend the account
- Permanently terminate the account and ban the user from the Platform
- Withhold pending payouts pending investigation
- Refer the matter to relevant UAE authorities where the violation involves illegal activity
6.2 Appeals
Users who believe their account has been suspended or restricted in error may submit an appeal to support@gofliq.ae within 14 days of the suspension notice. Fliq will review the appeal and respond within 10 business days. Fliq's decision on appeals is final.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the Dubai International Finance Centre.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through Fliq's customer support process. If a resolution cannot be reached within 30 days, the dispute shall be referred to the competent courts of Dubai, UAE.
For disputes involving amounts below AED 10,000, Fliq's internal resolution process will apply as a first step before court or arbitration proceedings are initiated.
CHANGES TO THESE TERMS
Fliq reserves the right to update or modify these Terms at any time. We will notify users of material changes through the Platform or by email. Your continued use of the Platform following notification constitutes your acceptance of the updated Terms. The current version of these Terms will always be available on the Platform.
ENTIRE AGREEMENT AND SEVERABILITY
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Fliq regarding the Platform and supersede all prior agreements. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
